General Covenants of the Companies. As a material inducement for the Purchasers to enter into this Agreement and subscribe for the Purchasers' Securities, each of the Companies hereby makes the following covenants and agreements for so long as the Purchasers hold any Ordinary Shares, Subordinated Notes, PIK Notes or Warrants; provided, however, that all such covenants and agreements shall lapse upon the earlier of (i) TW UK consummating a Qualified Public Offering or (ii) the Ordinary Shares achieving a Qualified Public Value:
