General Description of Services. The A-E will be contacted by County Project Management staff on an “as-needed” basis as projects arise to provide A-E for professional services. Requirements will be discussed by both Parties and A-E shall prepare a written Scope Statement that will include the specific work to be performed, including the costs and time required to complete the project/task. Orange County Project Management staff will then review the A-E’s Scope Statement, proceed with negotiation of task costs and when satisfied, issue a Contract Task Order (“CTO”) against this Contract. The A-E shall serve as lead of a design team that may include other construction design professionals working together to ensure that the original design is carried through to the finished product, with no alterations in materials or design that would lead to safety issues or compromise the quality of the building or building component. Other team members who may be retained by the lead to support a project as a consultant may include but are not limited to landscape architects, lighting designers, data consultants, security consultants, controls engineers, commissioning consultants, traffic engineers, surveyors, estimators, special inspection, etc. The A-E shall be responsible for the preparation of comprehensive building assessments, designs, drawings, specifications, cost estimates, and reports within the scope of the CTO. In the preparation of construction drawings and specification, the A-E shall also responsible for: A. Obtaining data by reviewing record drawings, visiting the site of the construction and by conferences with the User/Client and facility maintenance staff or by other actions as necessary to develop the design; B. Checking of shop drawings, submittals, materials and other data submitted by the Construction Contractor for approval; C. Furnishing consultation and advice to County to clarify the intent of the drawings and specifications and on questions that may arise during the construction of the project; D. Space planning, programming and code compliance review and upgrades; E. The meeting of submittal dates included in the Scope Statement of the Contract Task Order, including the work of consultants; F. Coordination with various agencies having authority of jurisdiction for planning services, entitlement, fire life safety, CEQA, ADA, etc.; G. Construction administration services, testing and commissioning; H. Close out services, as-built plans, material lists, project acceptance, etc...

General Description of Services. The A-E shall provide CA-PM Support Services, including estimating and scheduling support, cost control, document control, and management of information to ensure timely and cost-effective capital and/or maintenance-repair projects. The A-E shall also manage projects consisting of the repair and refurbishment of COUNTY-owned, and/or leased facilities, and provide management of energy retrofit efficiency projects. The A-E will be contacted by COUNTY Project Manager or designee on an “as-needed” basis as projects arise to provide CA-PM Support Services. Requirements will be discussed by both Parties and then the A-E shall prepare a written Scope Statement that will include the specific work to be performed, including the costs and time required to complete the project/task. COUNTY Project Manager or designee will review the A-E’s Scope Statement, proceed with negotiation of task costs and when satisfied, issue a Contract Task Order against this CONTRACT. Orange County Public Works/Facilities Maintenance and Project Management (OCPW) are responsible for most capital and maintenance-repair projects to provide safe County facilities to all internal and external constituents of the County of Orange. Capital projects are projects with construction costs typically greater than $175,000 which may require community and stakeholder coordination, professional design services, environmental documentation, regulatory permitting, and contract management services. Maintenance-repair projects are typically under $175,000 and may not require professional design services. To meet workload demands, project scheduling commitments, and to supplement existing staff resources, OCPW intends to establish a contract to provide Contract Administration - Project Management (CA-PM) Support Services under the direction and supervision of OCPW for various Capital and Maintenance-repair projects. This scope of work is to describe the services to be provided as part of the Contract; and the administrative process of the Contract.

The meeting of submittal dates included in the Scope Statement of the Contract Task Order, including the work of consultants; F. Coordination with various agencies having authority of jurisdiction for planning services, entitlement, fire life safety, CEQA, ADA, etc.; G. Construction administration services, testing and commissioning; H. Close out services, as-built plans, material lists, project acceptance, etc. I. The coordination of the various elements of the design to assure compatibility of architectural, structural, electrical, mechanical/plumbing, and other design features; J. Labor Compliance services for state and federally funded projects; K. Other services as specifically included in the Contract Task Order related to project Initiation, Planning/Design, Bid/Award, Construction and Closeout. The A-E shall restrict themselves to the Scope Statement of the Contract Task Order. Any changes in the Scope Statement shall require prior written authorization by County.

Regulatory Permitting and Restoration Services generally consist of the preparation of environmental permit applications, supporting documentation, and/or follow up submittals. Also needed is biological monitoring support and the development and implementation of habitat creation/restoration/enhancement plans. A detailed description of services needed is provided below in Section V. Project requirements including background, mapping limits, and pertinent project details will be provided, and specific services needed will be discussed by both Parties. A-E shall prepare a written Scope Statement that will include the specific work to be performed, including the costs and time required to complete the project/task, and project deliverables with expected format defined (e.g. GIS/CADD map layers, letter report, email summary, etc.). Project tasks shall include meetings with Project Manager to review the work progress, provide direction, resolve issues and ensure adherence to the work completion schedule. Within five (5) working days of each meeting required by County/District, A-E shall submit a memorandum summarizing the results of the meeting to Project Manager for concurrence and provide a project schedule for completion of the tasks to be performed. County Project Manager will then review the A-E’s Scope Statement, proceed with negotiation of task costs and when satisfied, and issue a Contract Task Order (CTO) against this Contract. The A-E shall restrict themselves to the Scope Statement of the CTO. Any changes in the Scope Statement shall require prior written authorization by County. If site visits are included in the Scope of Work, A-E shall notify the Project Manager of the day(s) and time(s) of the field visit(s) prior to its occurrence so other departments can be notified as necessary, and in the event the Project Manager chooses to have someone present.

Manager shall exercise its best efforts to fulfill the administrative functions of a well managed dental group.

General Description of Services. 3.1. Upon request of the User and consistent with berth availability, the Terminal Operator shall provide to the User the Container Terminal Services at the Container Terminal in an efficient and prudent manner and in accordance with the applicable rules in force in the port where the Container Terminal is located. It is understood that except where expressly mentioned otherwise, this Contract applies to all activities at the Container Terminal, including the receipt and delivery of Containers at off dock/land side depots managed by the Terminal Operator. 3.2. The Parties acknowledge and agree that terms and conditions of this Terminal Contract, have been agreed upon between the Parties on the basis (i) of the lines, services and the prospected volumes that the User intends to bring at the Container Terminal which are better described in Appendix I (ii) the Ships the User had declared shall call at the Container Terminal and which are better described in Appendix I. When the User acts only as slot charterer on Ships operated by third parties, the following clauses shall not be considered as applicable: 3.4 a – 2.3. Therefore, in order to allow the Terminal Operator an efficient planning of its activity, the User shall notify in writing to the Terminal Operator with at least 45 days prior notice of any modification (i) in the services/lines calling at the Container Terminal, including but not limited to addition/cancellation of lines/services, timetable, frequency or any increasing/decreasing of volumes and (ii) in the Ships used for such lines and services.
General Description of Services. During the Term, Service Company shall provide nonprofessional business support services reasonably necessary and appropriate for the efficient operation of the Practice, including, without limitation, those set forth in this Article III (the “Business Support Services”).
