General Disclosure Matters. No representation or warranty by Buyer contained in this Agreement, any other Transaction Document, any Schedule hereto or thereto or in any statement or certification furnished or to be furnished to Seller pursuant hereto or in connection with the Transactions, contains or will contain any untrue statement of a material fact or omits or will omit to state a material fact necessary to make the statements contained herein or therein not misleading.
