No representation or warranty by the Company or Shareholders contained in this Agreement, the Disclosure Schedule attached hereto or in any statement or certification furnished or to be furnished to ALG or Whitehall pursuant hereto or in connection with the transactions contemplated hereby, contains or will contain any untrue statement of a material fact or omits or will omit to state a material fact necessary to make the statements contained herein or therein not misleading.
