Common use of GENERAL INDEMNIFICATION OF INDENTURE TRUSTEE AND DELAWARE TRUSTEE Clause in Contracts

GENERAL INDEMNIFICATION OF INDENTURE TRUSTEE AND DELAWARE TRUSTEE. The Servicer agrees to indemnify and hold harmless the Indenture Trustee and the Delaware Trustee and their respective directors, officers, employees and agents from and against any and all Losses incurred by or asserted against any such Person as a result of or in connection with the transactions contemplated by this Agreement or any other Basic Document, other than any Loss incurred by reason or result of the gross negligence or willful misconduct of the Indenture Trustee or the Delaware Trustee; PROVIDED, HOWEVER, that the foregoing indemnity is extended to the Indenture Trustee and the Delaware Trustee solely in their respective capacities as trustees and not for the benefit of the Holders or any other Person. The obligations of the Servicer set forth herein shall survive the termination of this Agreement or the earlier resignation or removal of the Indenture Trustee under the Indenture or the Delaware Trustee under the Trust Agreement.
