General Indenmity Sample Clauses

General Indenmity. In addition to any liability of the Borrower to any Lender under any other provision hereof, the Borrower shall indemnify each Indemnified Party and hold each Indemnified Party harmless against any losses, claims, costs, damages or liabilities (including any expense or cost incurred in the liquidation and re-deployment of funds acquired to fund or maintain any portion of a Loan and reasonable out-of-pocket expenses and reasonable legal fees on a solicitor and his own client basis) incurred by the same as a result of or in connection with the Subordinated Debt Facilities or this Agreement, including as a result of or in connection with: (a) the Borrower’s failure to pay any other amount, including any interest or fee, due hereunder on its due date after the expiration of any applicable grace or notice periods (subject, however, to the interest obligations of the Borrower hereunder for overdue amounts); (b) the Borrower’s failure to give any notice required to be given by it to the Lenders hereunder; (c) the failure of the Borrower to make any other payment due hereunder; (d) any inaccuracy or incompleteness of the Borrower’s representations and warranties contained in Article 7; (e) any failure of the Borrower to observe or fulfil its obligations under Article 8; (0 any failure of the Borrower to observe or fulfil any other Obligation not specifically referred to above; or
