General interpretation rules. In this agreement, unless a contrary intention appears: (a) a reference to a clause, schedule or annexure is a reference to a clause, schedule or annexure to this agreement; (b) a reference to this agreement or another agreement or document includes that document as amended, varied, novated, supplemented or replaced from time to time; (c) a reference to legislation or a provision of legislation includes all regulations, orders or instruments issued under the legislation or provision; and any modification, consolidation, amendment, re-enactment, replacement or codification of such legislation or provision; (d) a reference to a person, corporation, trust, partnership, unincorporated body, government authority or other entity includes any of them; (e) a reference to a person includes that person’s successors, substitutes and permitted assigns; (and, where applicable, the person’s legal personal representatives); (f) a reference to dollars or $ is a reference to Australian dollars; (g) where a word or expression is defined or given meaning, another grammatical form has a corresponding meaning; (h) the singular includes the plural and vice versa; (i) a gender includes all other genders; (j) if a word or phrase is defined, its other grammatical forms have a corresponding meaning; (k) the word “includes” or “including” or “such as” are not words of limitation, and when introducing an example, do not limit the meaning of the words to which the example relates to examples of a similar kind; (l) if a party to this agreement is made up of more than one person, an obligation of that party is a joint and several obligation of those persons, a right of that party is held by each of those persons separately, and any other reference to that party is a reference to each of those persons separately, so that (for example) a representation, warranty or undertaking is given by each of them separately; (m) a provision of this agreement shall not be construed to the disadvantage of a party merely because that party was responsible for the preparation of this agreement or the inclusion of the provision in this agreement.
