General Mechanics. (a) By 10:00 a.m. (Calgary time) on the applicable Drawdown Date, Conversion Date or Rollover Date involving an issuance of Bankers’ Acceptances, the Borrower shall be deemed to have authorized each Lender, other than any Lender that is a Non-BA Lender, to sign and complete on behalf of the Borrower (if the power of attorney referred to in Section 4.4(a) remains in force with respect to such Lender), and accept Drafts drawn by the Borrower on such Lender in a principal amount determined in accordance with Section 4.3(b).
(b) Upon receipt by the Agent of a Notice of Drawdown or Notice of Rollover/Conversion from the Borrower requesting an issuance of Bankers’ Acceptances, the Agent shall promptly notify the Lenders thereof and advise each Lender of the aggregate face amount of Bankers’ Acceptances to be accepted by such Lender, the date of issue, the term, the Discount Proceeds and Stamping Fee in respect of the Bankers’ Acceptances to be accepted by such Lender. The allocation among the Lenders of the face amounts of Bankers’ Acceptances to be accepted by each Lender shall be determined by the Agent based on such Lender’s Pro Rata Share thereof; provided that, when such allocation cannot be evenly made, such allocation shall be rounded by the Agent in its discretion in accordance with its normal money market practices.
(c) On each Drawdown Date, Rollover Date or Conversion Date involving an issuance of Bankers’ Acceptances, each Lender, other than any Lender that is a Non-BA Lender, shall complete and accept, in accordance with the Notice of Drawdown or Notice of Rollover/Conversion delivered by the Borrower and advised by the Agent in connection with such issue, a Draft in an amount determined in accordance with Section 4.3(b) and shall purchase such Bankers’ Acceptances for its own account at a purchase price which reflects the Discount Rate applicable to such issue.
(d) On each Drawdown Date involving the issuance of Bankers’ Acceptances, each Lender, other than any Lender that is a Non-BA Lender, shall, for same day value on the Drawdown Date, remit the Discount Proceeds payable by such Lender (net of the Stamping Fee payable to such Lender pursuant to Section 3.1(d)) to the Agent for the account of the Borrower; and the Agent shall credit such funds to the Designated Account for same day value on such date.

General Mechanics. This Section describes the general processes by which Tl will submit Queries to AOL and requests for Matched Results for display as Sponsored Links, and the Third Party Provider, through AOL, will deliver Matched Results to Tl, in accordance with the terms of this Agreement. Subject to Section 2.4. when TI Users initiate a search on the Tl Search Service (whether through a Query or from a link within a category or sub-category or otherwise) then Tl will deliver the Search Term (if the search is initiated from a link within a category, then Tl will deliver the corresponding Search Term) to the Third Party Provider (subject to Tl’s rights to decline to send a particular Search Term pursuant to Section 2.8) and a request for Matched Results. The Third Party Provider shall receive and process the Search Term, including selecting Matched Results that satisfy the Search Term and this Agreement (e.g., including without limitation the filtering requirements of Section 2.7). The Third Party Provider then shall deliver to Tl, via a means and format agreed upon by AOL and Tl, an XML data feed that includes up to the specified number of Matched Results set forth in Section 2.1.1 above or a “no result” notice. TI shall parse the data feed as appropriate and display all the provided Matched Results (again subject to its rights to decline pursuant to Section 2.8 and subject to not receiving more than the number of Matched Results as set forth in Section 2.1.1) as Sponsored Links. All Sponsored Links shall contain mutually agreed Linking Mechanisms. The Sponsored Links shall be the highest-ranked qualifying Matched Results provided by the Third Party Provider (subject to the applicable filtering and blocking rules), provided, however, that the Parties may mutually agree otherwise with respect to the Next Pages.

When AOL Users initiate a search on the AOL Search Service or AOL Directory Service (whether through a Query or from a link within a category or sub-category or otherwise) then AOL will deliver the Search Term (if the search is initiated from a link within a category, then AOL will deliver the corresponding Search Term) to Google (subject to AOL’s rights to decline to send a particular Search Term pursuant to Section 2.9) and a request for Matched Results. Google shall receive and process the Search Term, including selecting Matched Results that satisfy the Search Term and this Agreement (e.g., including without limitation the filtering requirements of Section 2.8). Google then shall deliver to AOL, via a mutually agreed means and format, an XML data feed that includes up to the specified number of Matched Results set forth in Section 2.1.3 above or a “no result” notice. AOL shall parse the data feed as appropriate and display all the provided Matched Results (again subject to its rights to decline pursuant to Section 2.9) as Sponsored Links. All Sponsored Links shall contain mutually agreed Linking Mechanisms. When Tl Users initiate a search on the Tl Search Service (whether through a Query or from a link within a category or sub-category or otherwise) then subject to Section 2.4, Tl will deliver the Search Term (if the search is initiated from a link within a category, then Tl will deliver the corresponding Search Term) to AOL (subject to Tl’s rights to decline to send a particular Search Term pursuant to Section 2.8) and a request for Web Offers Links. AOL shall receive and process the Search Term, including selecting Web Offers Links that satisfy the Search Term and this Agreement (e.g., including without limitation the filtering requirements of Section 2.7). AOL then shall deliver to TI, via a means and format agreed upon by AOL and Tl, an XML data feed that includes no more than the number of Web Offers Links that can be displayed within two (2) lines of text as set forth in Section 2.2.1 above. Tl shall parse the XML data feed as appropriate and display all the provided Web Offers Links (again subject to its rights to decline pursuant to Section 2.8). The Web Offers Links will direct Tl Users to the Web Offers Landing Page, which will reside in a TI template for each Tl Site, as agreed upon by the Parties.
General Mechanics. (1) At no time will there be Bankers’ Acceptances outstanding with more than five (5) different maturity dates.
(2) The term of a Bankers’ Acceptance shall be selected by the Borrowers and may be one, two, or three months in duration provided that the term of a Bankers’ Acceptance shall not, in any event, exceed either (i) Maturity Date or (ii) the next scheduled Principal Payment Date.
General Mechanics. To have one of the following qualifications:
General Mechanics. All Queries to the Web Service sent by CNN to the Third Party Provider shall use a Client Name and a Valid IP Address provided by CNN to AOL and the Third Party Provider, where “Client Name” means an alphanumeric code assigned to CNN by the Third Party Provider, and “Valid IP Address” means any and all valid Internet protocol addresses that will be used by or on behalf of CXX.xxx. Any modifications to the initial list of Valid IP Addresses provided to AOL by CNN must be made by CNN. When CXX.xxx Users initiate a search on CXX.xxx in an area where CNN utilizes the Web Service, then CNN shall deliver such Queries to the Third Party Provider, subject to CNN’s rights to decline to send particular Queries pursuant to Section 2.9. The Third Party Provider shall receive and process the Queries, including generating the Results Set(s). The Third Party Provider then shall deliver to CNN the XML data feed that includes Results Set(s) or a “no result” notice. CNN shall parse the XML data feed to display, subject to the terms of this Agreement. CNN shall not alter the text of the Search Results, except that CNN may reformat, change the look and feel, and display only a portion of the Search Results, and may commingle and/or intermittently intersperse the Search Results with other search results (paid or unpaid, of CNN, its Affiliates and/or third parties), provided however, that in all cases CNN does not display the Search Results (whether or not commingled) in a different order or ranking than received. The Parties acknowledge and agree that nothing contained in this Section 2.2.2 is intended to negate or amend the restrictions placed on CNN set forth in Section 4 (Exclusivity) of this Agreement. CNN may limit the number of Results Sets returned per Query.

When CXX.xxx Users initiate a search on the CNN Search Service (whether through a Query or from a link within a category or subcategory or otherwise) then subject to Section 2.4, CNN will deliver the Search Term (if the search is initiated from a link within a category, then CNN will deliver the corresponding Search Term) to AOL (subject to CNN’s rights to decline to send a particular Search Term pursuant to Section 2.9) and a request for Web Offers Links. AOL shall receive and process the Search Term, including selecting Web Offers Links that satisfy the Search Term and this Agreement (e.g., including without limitation the filtering requirements of Section 2.8). AOL then shall deliver to CNN, via a means and format agreed upon by AOL and CNN, an XML data feed that includes no more than the number of Web Offers Links that can be displayed within two (2) lines of text as set forth in Section 2.3.1 above. CNN shall parse the XML data feed as appropriate and display all the provided Web Offers Links (again subject to its rights to decline pursuant to Section 2.9). The Web Offers Links will direct CXX.xxx Users to the Web Offers Landing Page, which will reside in a CNN template, as agreed upon by the Parties.
General Mechanics. 1. Each conference conducted under the grievance procedure shall be conducted as a private conference, and attendance at such a conference shall be restricted to those persons requested by either party to participate in the attempted resolution of the grievance.
2. Any conference which may be held under the grievance procedure shall be conducted before or after working hours, except where mutually agreed to the contrary and at a reasonable place. In the event that a conference or hearing under the grievance procedures is held during school hours, each administrator who is a party or witness shall be excused from his/her regular duties, with pay, to attend such a conference or hearing.
3. The President of the Association, or his/her representative, shall be released from his/her regular duties without loss of compensation to attend grievance conferences or hearings held during working hours.
4. Failure to comply with the time limits by the District or its agents shall allow the Association or grievant to proceed to the next step.
5. Failure to comply with the time limits by the Association or the grievant shall bar any further action on the grievance.
6. The parties may extend the time limits by mutual agreement in writing.
