Common use of General Operation of Property Clause in Contracts

General Operation of Property. Except as specifically set forth in this Article VII, each Seller shall operate its Property after the Effective Date in the ordinary course of business, and except as necessary in such Seller’s sole discretion to address (a) any life or safety issue at its Property, (b) the Westway Village Repair Work or (c) any other matter which in such Seller’s reasonable discretion materially adversely affects the use, operation or value of such Property, such Seller will not make any material alterations to its Property or remove any material Fixtures and Tangible Personal Property without the prior written consent of Purchaser which consent shall not be unreasonably withheld, conditioned or delayed.

Except as specifically set forth in this Article VII, each Seller shall continue to operate its and maintain the Property after the Effective Date in the ordinary course of business, and except as necessary in such Seller’s sole discretion to address (a) any life or safety issue at its the Property, (b) the Westway Village Repair Work or and (c) any other matter which in such Seller’s reasonable discretion materially adversely affects the use, operation or value of such the Property, such Seller will not make any material alterations to its the Property or remove any material Fixtures and Tangible Personal Property without the prior written consent of Purchaser which consent shall not be unreasonably withheld, conditioned denied or delayed.

Except as specifically set forth in this Article VII9, each Seller shall operate its the Property after the Effective Date in the ordinary course of Seller’s business, and except as necessary in such Seller’s sole discretion to address (a) any life or safety issue at its the Property, (b) any requirements of or obligations under any documents recorded against the Westway Village Repair Work Property, or (c) any other matter which in such Seller’s reasonable discretion materially adversely affects the use, operation or value of such the Property, such Seller will not make any material alterations to its the Property or remove any material Fixtures and Tangible Personal Property fixtures without the prior written consent of Purchaser Buyer which consent may be withheld in Buyer’s sole and absolute judgment. Under no circumstances shall not Seller be unreasonably withheldrequired or obligated under this Agreement to undertake, conditioned or delayedcause to be undertaken, any capital improvements or capital repairs with respect to the Property or any portion thereof.
