General Partner as Liquidator and Receiver. In the course of the dissolution of the Partnership: (a) the General Partner; or (b) the sole remaining Partner, if as a result of the resignation of the General Partner and its withdrawal from the Partnership there shall remain only one Partner of the Partnership, shall act as the liquidator, receiver and manager of the Partnership.
