Common use of GENERAL PARTNER MANAGEMENT Clause in Contracts

GENERAL PARTNER MANAGEMENT. The Partnership's business shall be managed by the General Partner and, except as expressly provided in this Agreement, the Limited Partner shall not take part in the business of the Partnership or have any Approval rights with respect thereto. Except as otherwise provided in this Agreement (including the right of the Limited Partner to Approve Major Decisions under Section 5.1.5), the General Partner shall supervise and undertake the business of the Partnership and make decisions affecting the day-to-day operations of the Partnership and the Investment, including the acts to be taken by the Partnership as the Lessor under the Lease, and the General Partner shall have full authority to do so. Except to the extent the Approval of the Limited Partner is expressly required under this Agreement, no consent or Approval of the Limited Partner shall be required with respect to any action or decision of the General Partner with respect to Partnership matters. No Partner shall receive any compensation for serving as a Partner or undertaking any action on behalf of the Partnership. Each Partner shall cause each of its Authorized Representatives to devote as much time as is reasonably necessary to fulfill the Partner's obligations under this Agreement.
