Common use of General Partner’s Discretion Clause in Contracts

General Partner’s Discretion. Whenever in this Agreement the General Partner is permitted or required to make a decision, unless otherwise explicitly provided in this Agreement, it may do so in its sole and absolute discretion; provided that nothing in this Section 13.11 shall affect or modify the General Partner’s standard of care set forth in Section 10.1 of this Agreement or permit the General Partner to take actions in violation of this Agreement.
