General Payment Procedures. With the exception of the Upfront Payment payable pursuant to Section 8.1, the milestone payments payable pursuant to Section 8.2, Commercialization Payments payable pursuant to Section 8.4, the Supply Delivery Price payable pursuant to Section 7.7.1, or other amounts expressly payable in certain time frames set forth in this Agreement, the receiving Party shall invoice the paying Party for all amounts due to such receiving Party under this Agreement, and such payments shall be made within thirty (30) days following the receipt by the paying Party of an invoice from the receiving Party specifying the amount due.

General Payment Procedures. Unless otherwise expressly payable in certain time frames as provided in this Agreement (including Section 7.4.1), the receiving Party shall invoice the paying Party for all amounts due to such receiving Party under this Agreement, and such payments shall be made within [***] following the receipt by the paying Party of an invoice from the receiving Party specifying the amount due.

General Payment Procedures. With the exception of the Upfront Payment payable pursuant to Section 9.1 (***), the milestone payments payable pursuant to Section 9.2 and royalties payable pursuant to Section 9.3 or other amounts expressly payable in certain time frames set forth herein, Immunomedics shall invoice the Licensee for all amounts due to Immunomedics under this Agreement, and such payments shall be made within *** following the receipt by Licensee of an invoice from Immunomedics specifying the amount due.

General Payment Procedures. Any payment under this Article 7 other than royalties pursuant to Sections 7.3 is subject to a prior written undisputed invoice to be served to the Party owing the payment and complying with reasonable tax and accounting requirements of the Party owing the payment. The receiving Party shall invoice the paying Party for all amounts due to such receiving Party under this Agreement, and such payments of all undisputed amounts shall be made within [**] following the receipt by the paying Party of an invoice from the receiving Party specifying the amount due in accordance with this Agreement. General Payment Procedures. Administrative Agent hereby agrees with each Lender that it shall distribute and apply money pursuant to Section 3.1(b) and (c) and Section 3.9 promptly.

General Payment Procedures. Borrower will make each payment which it owes hereunder or under the Note not later than 1:00 p.m., New York time, on the date such payment becomes due and payable, in lawful money of the United States of America, without set-off (except to the extent any offset is required under the Master Offset Agreement), deduction or counterclaim, and in immediately available funds. Any payment received by Lender after such time will be deemed to have been made on the next following Business Day. Amounts collected or received by Lender shall be applied in accordance with Section 9.8.

The Parties understand and agree that the amounts paid by HanX to Onconova shall be used to fund and reimburse Onconova for research and Development activities of the Product.
