General Power to Delegate Authority. The Management Committee may delegate the right, power and authority to manage the day-to-day business, affairs, operations and activities of the Company to any officer of the Company or Management Co. pursuant to the Management Services Agreement, or to any other Person with the prior approval of the PEGI Managers, subject to the ultimate direction, control and supervision of the Management Committee; provided, however, that no officer or other Person, including without limitation Management Co., shall be authorized to take any action or engage in any activity where unanimous approval of the Management Committee is required or where the approval of a specified Person is required, without first obtaining the required approvals.
