GenSight’s Product Manufacturing. Without prejudice to the foregoing, in the event Genethon notifies GenSight of its intent not to be in charge with the Product manufacturing and supply for commercial purposes, including for the lack of appropriate capabilities in this respect, Genethon agrees to negotiate diligently and in good faith, [**], the outsourcing of such operations, [**] to GenSight or any third party designated by GenSight for that purpose.
