Given by The Purchaser. The Purchaser covenants and agrees with each Vendor and the Company that the Purchaser shall:
(a) permit the Vendors’ representatives, at their own cost, full access to The Purchaser's property, books and records including, without limitation, all of the assets, contracts and minute books of the Purchaser, so as to permit the Vendors' representatives to make such investigation of the Purchaser as the Vendors deem reasonably necessary;
(b) from and including the Effective Date through to and including the Time of Closing, do all such acts and things necessary to ensure that all of the representations and warranties of The Purchaser remain true and correct and not do any such act or thing that would render any representation or warranty of The Purchaser untrue or incorrect;
(c) name ▇▇▇▇ ▇▇▇▇▇ as management's nominees for election to its board of directors at the first shareholders' meeting of the Purchaser held after the Effective Date, and use its best efforts to secure proxies in favour of the appointment of ▇▇▇▇ ▇▇▇▇▇ to its board.
