Common use of Givex PI Breach Indemnity Clause in Contracts

Givex PI Breach Indemnity. Givex agrees to defend, hold harmless, and indemnify Merchant, its Affiliates and their respective directors, officers, employees, agents, representatives and assigns (the “Merchant Indemnified Party”), from any and all losses, claims, demands, actions, damages and liabilities, joint or several, including the aggregate amount paid in reasonable settlement of any actions, suits, proceedings, investigations or claims and the reasonable fees and expenses of their legal counsel that may be incurred in advising with respect to and/or defending any action, suit, proceedings, investigation or claim that may be made or threatened against Merchant Indemnified Party by any third- party, including a supervisory authority or other government regulator, in enforcing this indemnity (collectively, the “Claims”), to which the Merchant Indemnified Party may become subject or otherwise involved in any capacity insofar as the Claims relate to, are caused by, arise out of or are based upon any Personal Information Breach involving Personal Information in the care, custody, or control of Givex or Givex Affiliates, subcontractors, employees, agents, or representatives.
