Glenmark Agreement. If Napo or Glenmark proposes to amend the Glenmark Agreement (including the Glenmark-Napo Amendment) or the Glenmark-Napo Letter Agreement, in each case as amended through the Effective Date, then Napo shall provide Salix with a written notice of such proposed amendment. Napo shall not enter into any amendment to the Glenmark Agreement (including the Glenmark-Napo Amendment) or the Glenmark-Napo Letter Agreement, in each case as amended through the Effective Date, without the prior written consent of Salix, which consent is not to be unreasonably withheld, conditioned, or delayed unless Salix determines, in its sole and absolute discretion (such discretion nonetheless to be exercised in good faith), that the proposed amendment adversely affects any of Salix’s rights under this Agreement.
