Common use of Global Offering of Original CBFIs Clause in Contracts

Global Offering of Original CBFIs. Pursuant to and in accordance with the prior written instructions of the Manager, the Trustee shall carry out a global offering of the real estate trust certificates (certificados bursátiles fiduciarios inmobiliarios) (the “Original CBFIs”), consisting of (i) an international offering of Original CBFIs in the United States of America to “qualified institutional buyers”, as defined under Rule 144A under the U.S. Securities Act of 1933 (the “Securities Act”) in transactions exempt from registration thereunder, and outside Mexico and the United States of America in reliance on Regulation S under the Securities Act, and (ii) a concurrent initial public offering of Original CBFIs in the BMV (collectively with the international offering of CBFIs under subparagraph (i) above, the “Initial Issuance”). Such Original CBFIs shall be issued by the Trustee in the amounts, and in compliance with the terms and conditions authorized by the CNBV and the BMV. Such Original CBFIs shall be issued in the form of a Global Certificate deposited with Indeval, shall be registered with the RNV and listed on the BMV.
