Gold Ridge Information Circular. All EKI Information to be set forth in the Information Circulars or Joint Information Circular, as applicable, (excluding any information therein provided by Gold Ridge, as to which EKI makes no representation) shall be true and complete in all material respects and shall not contain any misrepresentation. The consolidated financial statements of EKI issued by EKI or to be included in the Information Circulars or Joint Information Circular, as applicable, will be prepared in accordance with Applicable Laws and international financial reporting standards, (except: as otherwise indicated in such financial statements and the notes thereto or, in the case of audited statements, in the related report of EKI's independent accountants; or (ii) in the case of unaudited interim financial statements, to the extent they may not include footnotes or may be condensed or summary statements) and will present fairly the financial position, results of operations and changes in financial position of EKI as of the dates thereof and for the periods indicated therein (subject, in the case of any unaudited interim financial statements, to normal year-end audit adjustments).

The interface for the LIDB functionality is the interface between BellSouth’s CCS network and other CCS networks. LIDB also interfaces to administrative systems.
