Golden Parachute Restrictions. Anything in this Agreement to the contrary notwithstanding, in the event it shall be determined that any payment or distribution by or on behalf of the Corporation to or for the benefit of the Officer as a result of and contingent on a “change in control,” as defined in section 280G of the Code, (such amounts contingent on a change in control as described in Treas. The determination of the amount to be paid to Officer on account of this Section 4.5 shall be made by the accountant, tax counsel or other similar expert advisor to Officer (the “Tax Advisor”), which shall, if requested, provide detailed supporting calculations both to the Corporation and the Executive and if requested, a written opinion. The supporting calculations shall include a valuation of the non-competition provisions of Section 5. The costs and expenses of the Tax Advisor shall be the responsibility of the Corporation.

Golden Parachute Restrictions. Reg. § 1.280G-1 Q/A-22) whether or any successor provision thereto, but for the application of this sentence, then the payments and benefits to be paid or payable provided under this Agreement will be reduced to the minimum extent necessary (but in no event to less than zero) so that no portion of any such payment or distributed benefit, as so reduced, constitutes an Excess Parachute Payment; provided, however, that the foregoing reduction will be made only if and to the extent that such reduction would result in an increase in the aggregate payment and benefits to be provided to the Executive, determined on an after-tax basis (taking into account the excise tax imposed pursuant to Code Section 4999, or distributable any successor provision thereto, any tax imposed by any comparable provision of state law, and any applicable federal, state and local income taxes). The Executive agrees to take such action as the Company reasonably requests to mitigate or challenge the application of such tax, provided that the Company shall supply such counsel and expert advice, including legal counsel and accounting advice, as may reasonably be required, and shall be responsible for the payment of such experts’ fees. If requested by the Executive or the Company, the determination of whether any reduction in such payments or benefits to be provided under this Agreement or otherwise is required pursuant to the terms preceding paragraph will be made by an independent accounting firm that is a “Big-4 Accounting Firm” or major regional accounting firm (or other accounting firm mutually acceptable to the Executive and the Company) not then-engaged as the Company’s independent public auditor, at the expense of this Agreement or otherwisethe Company, (togetherand the determination of such independent accounting firm will be final and binding on all parties. In making its determination, the “Contingent Payment”) would constitute independent accountant will allocate a “parachute payment,” as defined in Treas. Reg. § 1.280G-1 Q/A-30, reasonable portion of the Change of Control Transaction separation pay to the value of any personal services rendered following the Change of Control Transaction and the value of any non-competition agreement or similar agreements to the extent that such items reduce the amount of the Contingent Payment parachute payment. In the event that any payment or benefit intended to Officer shall be provided under this Agreement or otherwise is required to be reduced pursuant to this Agreement, the Executive (Ain the Executive’s sole discretion) will be entitled to designate the payments and/or benefits to be so reduced in order to an amount give effect to this Agreement. The Company will provide the Executive with all information reasonably requested by the Executive to permit the Executive to make such designation. In the event that is one dollar less than 300% the Executive fails to make such designation within ten (10) days of receiving such information, the Company may effect such reduction in any manner it deems appropriate. To the extent that the Executive’s ability to make such a designation would cause any of the Officer’s “base amount” (as defined payments and benefits to become subject to any additional tax under Code Section 409A, or if the Executive fails to make such a designation within the time prescribed by the Company, then the Company shall achieve the necessary reduction in section 280G(b)(3)(A) such payments and benefits by first reducing or eliminating the portion of the Code), so payments and benefits that are payable in cash and then by reducing or eliminating the amount of such payments do not constitute a parachute payment (the “Safe Harbor Payment”), or, if greater, (B) the entire Contingent Payment, unreduced by the calculation in clause (A), provided that the net value of such Contingent Payment to the Officer exceeds the Safe Harbor Payment, after taking into account the additional taxes to Officer that apply to the unreduced Contingent Payment, including the excise taxes imposed thereon under section 4999 non-cash portion of the Code. The determination of the amount payments and benefits, in each case in reverse order beginning with payments and benefits which are to be paid to Officer on account of this Section 4.5 shall be made by or provided the accountant, tax counsel or other similar expert advisor to Officer (furthest in time from the “Tax Advisor”), which shall, if requested, provide detailed supporting calculations both to the Corporation and the Executive and if requested, a written opinion.
