Common use of Good faith and Conflicts of Interest Clause in Contracts

Good faith and Conflicts of Interest. Supplier must, in relation to all dealings between Supplier and Spark contemplated by this Agreement, act in good faith towards Spark, promptly disclose any Conflicts of Interest to Spark and ensure that Supplier fully and properly acts in the interests of Spark. If Supplier fails to comply with this clause 3.7 it will be deemed to be in material breach of the Agreement.
