Common use of Good faith and proportionality Clause in Contracts

Good faith and proportionality. The Department will exercise its rights under this clause 59 reasonably and in good faith, taking into account the relevant breach. If the Department takes any action under this clause 59: where relevant, this Agreement will be deemed to be varied accordingly; and the Provider is not relieved of any of its obligations under this Agreement. For the avoidance of doubt, any reduction of Participant referrals, Fees, Funds, Reimbursements, Wage Subsidies, Ancillary Payments or the scope of this Agreement under this clause 59 does not amount to a reduction of scope or termination for which compensation is payable.
