Good faith and proportionality. The Department will exercise its rights under this clause 61 reasonably and in good faith, taking into account the relevant breach or other event. Clause 61.1 does not limit or exclude any of the Department’s other rights, including the right to recover any other amounts from the Provider on termination of this Agreement, the right to reduce payments due on termination on the basis of breach or poor performance, or any rights of offset.
