Common use of Good Faith Revision Clause in Contracts

Good Faith Revision. Notwithstanding any other provision of this Agreement, if during the term hereof any Change of Law results in an Adverse Consequence, Customer and Accuray shall make good faith efforts to revise this Agreement in order to avoid or mitigate such Adverse Consequence(s). Where such Change of Law results in any particular provision of this Agreement becoming invalid or unenforceable, the parties agree to first attempt to revise the Agreement so that the remaining provisions shall be enforceable and binding except where severance of the invalid or unenforceable provision substantially changes the rights and duties of the parties.
