Good Title, Operating Condition. Except as set forth on the Company Disclosure Schedule: (i) the Company has good and valid title to or the unrestricted right to use all of the Assets owned, leased or licensed by it, free and clear of all Security Interests (other than Permitted Encumbrances), and (ii) all Tangible Personal Property, is in good operating condition for the operation of the Business, normal wear and tear excepted.
Good Title, Operating Condition. Except as listed on Schedule 3.10(c): (i) Seller has good, valid and marketable title to or the unrestricted right to use all of the Assets owned, leased or licensed by it, in each case, free and clear of all Security Interests of every kind or character (other than Permitted Encumbrances and other than the Security Interests to be released at Closing); (ii) Seller is the owner, lessee or licensee of all of the Acquired Tangible Personal Property; and (iii) all Acquired Tangible Personal Property, including equipment and electrical devices, is in usable operating condition and repair, normal wear and tear excepted, and has been maintained in all material respects in accordance with the Communications Laws.
