Common use of Good Title to Shares Clause in Contracts

Good Title to Shares. Such Selling Stockholder has, and on each Closing Date will have, valid title to the Shares to be sold by such Selling Stockholder and the legal right and power, and all authorization and approval required by law, to enter into this Agreement, the Custody Agreement and the Power of Attorney and to sell, transfer and deliver the Shares to be sold by such Selling Stockholder.

Good Title to Shares. Such Selling Stockholder Shareholder has, and on each Closing Date will have, valid title to the Shares to be sold by such Selling Stockholder Shareholder and the legal right and power, and all authorization and approval required by law, to enter into this Agreement, the Custody Agreement and the Power of Attorney and to sell, transfer and deliver the Shares to be sold by such Selling StockholderShareholder.

Good Title to Shares. Such Selling Stockholder has, and on each Closing Date will have, valid title to the Shares to be sold by such Selling Stockholder and the legal right and power, and all authorization and approval required by law, to enter into this Agreement, the Custody Agreement and the Power of Attorney and Custody Agreement and to sell, transfer and deliver the Shares to be sold by such Selling Stockholder.

Good Title to Shares. Such Each Selling Stockholder has, and on each the first Closing Date (as hereinafter defined) will have, valid title to the Common Shares to be sold by such Selling Stockholder on such Closing Date and the legal right and power, and all authorization and approval required by law, to enter into this Agreement, the Custody Agreement and the Power of Attorney and to sell, transfer and deliver the Common Shares to be sold by such Selling Stockholder.

Such Selling Stockholder has, and on each the Closing Date will have, valid title to the Shares to be sold by such Selling Stockholder and the legal right and power, and all authorization and approval required by law, to enter into this Agreement, the Custody Agreement and the Power of Attorney and to sell, transfer and deliver the Shares to be sold by such Selling Stockholder.

Such Selling Stockholder has, and on each the Option Closing Date will have, valid title to the Shares to be sold by such Selling Stockholder and the legal right and power, and all authorization and approval required by law, to enter into this Agreement, the Custody Agreement and the Power of Attorney and to sell, transfer and deliver the Shares to be sold by such Selling Stockholder.

Good Title to Shares. Such Selling Stockholder has, and on each the Closing Date (as hereinafter defined) will have, valid title to the Shares to be sold by such Selling Stockholder to the Underwriters on such date pursuant to this Agreement, and the legal right and powerpower and, and as applicable, all authorization and approval approval, required by law, to enter into this Agreement, the Custody Agreement and the Power of Attorney and to sell, transfer and deliver the Shares to be sold by such Selling StockholderStockholder pursuant to this Agreement.

Such Selling Stockholder has, and on each of the Closing Date and the Option Closing Date (as hereinafter defined) will have, valid title to the Shares to be sold to the Underwriters by such Selling Stockholder on such date pursuant to this Agreement, and the legal right and power, and all authorization and approval required by law, to enter into this Agreement, the Custody Agreement and the Power of Attorney and to sell, transfer and deliver the Shares to be sold by such Selling StockholderStockholder pursuant to this Agreement.

Good Title to Shares. Such Selling Stockholder has(i) has valid title to the Shares to be sold by such Selling Stockholder, and (ii) on each the Closing Date or any Option Closing Date (both as defined below), will have, have valid title to the Shares to be sold by such Selling Stockholder on such date and (iii) has the legal right and power, and all authorization and approval required by law, to enter into this Agreement, the Custody Agreement and the Power of Attorney and to sell, transfer and deliver the Shares to be sold by such Selling Stockholder.

Good Title to Shares. Such Selling Stockholder has, and on each Closing Date will have, valid title to the Shares to be sold by such Selling Stockholder and the legal right and power, and all authorization and approval required by law, to enter into this Agreement, the Custody Agreement and the Power of Attorney and to sell, transfer and deliver the Shares to be sold by such Selling Stockholder, except for compliance with applicable federal securities laws or securities or Blue Sky laws of the various states in connection with the offer and sale of the Shares.

Good Title to Shares. Such Selling Stockholder has, and on each Closing Date will have, valid title to the Shares to be sold by such Selling Stockholder and the legal right and power, and all authorization and approval required by law, to enter into this Agreement, the Custody Agreement and the Power of Attorney and to sell, transfer and deliver the Shares to be sold by such Selling Stockholder, except such as may be required by the Securities Act and the securities or Blue Sky laws of the various states in connection with the offer and sale of the Shares.

Such Selling Stockholder has, and or on each applicable Option Closing Date will have, valid title to the Shares to be sold by such Selling Stockholder and the legal right and power, and all authorization and approval required by law, to enter into this Agreement, the Custody Agreement and and, if applicable, the Power of Attorney and to sell, transfer and deliver the Shares to be sold by such Selling Stockholder.

Good Title to Shares. Such Selling Stockholder has, and on each Closing Date will have, valid title to the Shares to be sold by such Selling Stockholder and the legal full right and power, and all authorization and approval required by law, necessary to enter into this Agreement, the Custody Agreement and the Power of Attorney and to sell, transfer and deliver the Shares to be sold by such Selling Stockholder.

Good Title to Shares. Such Selling Stockholder has, and on each the Option Closing Date will have, valid title to the Shares to be sold by such Selling Stockholder and the legal right and power, and all authorization and approval required by law, to enter into this Agreement, the Custody Agreement and Agreement, the Power of Attorney and the Stock Power and to sell, transfer and deliver the Shares to be sold by such Selling Stockholder.
