GOVERNANCE OF THE LLC BY THE MANAGER. All powers of the LLC shall be exercised under the authority of, and the business and affairs of the LLC shall be under the direction of, the Manager, unless otherwise provided in the Act, the Articles, or this Agreement. A Member shall not participate in the day-to-day operation of the business affairs of the LLC. A Manager need not be a Member.
