Common use of Governing Law and Attornment Clause in Contracts

Governing Law and Attornment. This Contract is governed by and will be construed in accordance with the laws of Ontario and the laws of Canada applicable therein and shall be treated in all respects as an Ontario contract. Conflict of laws, principles, or rules that would impose the laws of any jurisdiction other than the laws of Ontario (or Canada where applicable) on the construction of this Contract shall be excluded. The Parties attorn to the exclusive jurisdiction of the Ontario courts with respect to any matter arising under the Contract.

Governing Law and Attornment. (a) This Contract Agreement is a legally binding contract and is subject to laws of general application and shall be governed by by, interpreted, construed, and will be construed enforced in accordance with the laws of the Province of Ontario and the federal laws of Canada as applicable therein therein, as amended from time to time. Subject only to Subsection 42(c) hereof, the Parties irrevocably and shall be treated in all respects as an Ontario contract. Conflict of laws, principles, or rules that would impose the laws of any jurisdiction other than the laws of Ontario (or Canada where applicable) on the construction of this Contract shall be excluded. The Parties unconditionally attorn and submit to the exclusive jurisdiction of the courts of the Province of Ontario and all courts competent to hear appeals therefrom in accordance with respect to any matter arising under the Contractlaws of the Province of Ontario.

Each of Ontario (or Canada where applicable) on the construction of this Contract shall be excluded. The Parties attorn irrevocably submits to the non-exclusive jurisdiction of any court in the Province of Ontario courts for the purposes of any legal or equitable suit, action or proceeding in connection with respect to any matter arising under the Contractthis Agreement.
