Governing Law and Binding Effect. 19.1 This Agreement shall be governed by and construed and enforced in accordance with the laws of the State in which the Property is located and shall be binding upon, inure to the benefit of, and be enforceable by the parties as well as their respective heirs, personal representatives, successors and assigns.
