Common use of Governing Law and Choice of Venue Clause in Contracts

Governing Law and Choice of Venue. This Option Agreement shall be governed by and construed and enforced in accordance with the laws of the State of Delaware without regard to conflict of law principles thereunder. For purposes of litigating any dispute that arises under the Option or this Option Agreement, the parties hereby submit to and consent to the jurisdiction of the State of California, and agree that such litigation shall be conducted in the courts of Orange County, California, or the federal courts for the United States for the Central District of California, and no other courts, where this Option grant is made and/or to be performed.
