Common use of GOVERNING LAW AND EXCLUSIVE JURISDICTION Clause in Contracts

GOVERNING LAW AND EXCLUSIVE JURISDICTION. 22.1 This Agreement and any non-contractual matters in connection with it are governed by and construed in accordance with English law. 22.2 The parties irrevocably agree, for the sole benefit of Tradition, that the courts of England and Wales shall have exclusive jurisdiction over any claim or matter arising out of or in connection with this Agreement or the legal relationships established by it. Nothing in this clause shall limit the right of Tradition to take proceedings against you in any other court of competent jurisdiction, nor shall the taking of proceedings in any one or more jurisdictions preclude the taking of proceedings by Tradition in any other jurisdictions, whether concurrently or not, to the extent permitted by the law of such other jurisdiction. You hereby waive any objection that you may have to the jurisdiction of the courts of England and Wales or as otherwise so chosen by Tradition on the grounds that any such proceedings have been brought in an inconvenient forum. 22.3 If you do not have your registered office or principal place of business in England or Wales, you must immediately appoint a party which is located in England or Wales as your agent for service of process in England or Wales and notify us of such appointment as soon as practically possible.
