Common use of Governing Law and Remedies Clause in Contracts

Governing Law and Remedies. The validity, interpretation, enforceability, and performance of this Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, without giving effect to New Jersey’s choice of law rules. Employee hereby irrevocably submits to the jurisdiction of the federal and state courts within New Jersey for the determination of all disputes, suits or proceedings arising out of or relating to this Agreement. Employee acknowledges that a remedy at law for the breach or threatened breach by Employee of the provisions of Section 1.3 and 1.4 would be inadequate, and that such a breach would cause irreparable harm to the Company. Employee therefore agrees that the Company shall be entitled to injunctive relief in case of any such breach or threatened breach.
