GOVERNING LAW AND RULES OF CONSTRUCTION. (1) The validity, interpretation, and the performance of this Agreement shall be governed by the laws of [insert place]. (2) If any term or provision of this Agreement is determined to be invalid, it shall not affect the validity and enforcement of the remaining terms and provisions of the Agreement.
