Governing Law; Binding Effect; Amendment; Notice. (a) This Agreement shall be interpreted and enforced in accordance with the laws of the State of Delaware without effect to its conflict of law provisions, except to the extent that the provisions of the Xxxxxxxx-Xxxxx Act of 2002 and other federal laws preempt the applicable state law to the enforceability or interpretation of this Agreement.
