Governing Law; Choice of Forum; Consent to Service of Process and Jurisdiction; Waiver of Trial by Jury. This Amendment and the rights and obligations of the parties hereto shall be governed by, and construed and interpreted in accordance with, the law of the State of New York. Reference is hereby made to Section 12.8 (Choice of Forum, Consent to Service of Process and Jurisdiction; Waiver of Trial by Jury) of the Credit Agreement which are hereby incorporated by reference in this Amendment, mutatis mutandis.
