Governing Law; Choice of Forum; Service of Process; Jury Trial Waiver. (a) Section 11.1(a) of the Loan Agreement is hereby amended by adding the following at the end thereof: “except to the extent that the provisions of the Bankruptcy Code are applicable and specifically conflict with the foregoing.” (b) Section 11.1(b) of the Loan Agreement is hereby amended by deleting the phrase “United States District Court for the Southern District of New York” and replacing it with the phrase “United States District Court for the Southern District of New York and United States Bankruptcy Court for the Southern District of New York” therefor.
