This Agreement will be construed in accordance with and governed by the laws of the State of Georgia, regardless of the law that might be applied under principles of conflict of laws. Any action to enforce this Agreement or any action otherwise regarding this Agreement must be brought in a court in the State of Georgia, to which jurisdiction the Company and you consent.

Any legal suit, action or proceeding arising out of or related to enforce this Agreement or any action otherwise regarding this Agreement must the matters contemplated hereunder will be brought instituted exclusively in a court in the courts of the State of Georgia, USA, in each case located in Xxxxxx County, and each Party irrevocably submits to which the exclusive jurisdiction the Company of such courts in any such suit, action or proceeding and you consentwaives any objection based on improper venue or forum non-conveniens.
