Governing Law; Consent to Jurisdiction; Waiver of Jury Trial; Injunctive Relief. (a) This Agreement shall be governed by and construed in accordance with the internal procedural and substantive laws of the State of New York without regard to any conflicts of laws concepts which would apply the substantive law of some other jurisdiction.
