Governing Law; Disclosure of Certain Tax Information; Binding Effect. (i) This Agreement shall be governed by and interpreted in accordance with the internal laws of the State of Nebraska , without regard to the conflicts of laws provisions of that or any other state; provided, however, that any Transfer of Payment Rights under this Agreement may be subject to the laws of a different state than designated above.
