The construction and effect of the terms of any Participating Addendum or Purchase Order issued against the Contract shall be governed by and construed in accordance with the laws of the Participating Entity’s or Purchasing Entity’s state. 2. Venue for any claim, dispute, or action concerning the any Purchase Order placed against the Contract or the effect of a Participating Addendum shall be in the Purchasing Entity’s state.‌ 12.
