GOVERNING LAW, JURISDICTION AND PROCESS. This Agency Agreement shall be governed and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Each party hereto irrevocably waives any right that it may have to trial by jury in any action, proceeding, or counterclaim arising out of or relating to this Agency Agreement or the transactions contemplated hereby.
