GOVERNING LAW, JURISDICTION AND SERVICE OF PROCESS. (a) Any dispute or other matter arising out of or in connection with this Agreement shall be governed by, and construed in accordance with, the laws of the State of New York, without reference to principles of conflict of laws or choice of laws.
