Common use of GOVERNING LAW, JURISDICTION AND VENUE; JURY WAIVER Clause in Contracts

GOVERNING LAW, JURISDICTION AND VENUE; JURY WAIVER. This agreement shall be construed in accordance with, and be governed by the laws of, the State of Ohio, without giving effect to the conflicts of law of such state. The parties hereto irrevocably consent to the exclusive jurisdiction of the courts of the State of Ohio and the courts of the united states for the southern district and each party by its execution of this agreement irrevocably (i) submits to such jurisdiction and (ii) consents to the service of any process or pleadings by first class U.S. mail, postage prepaid and return receipt requested, or by any other means form time to time authorized by the laws of such jurisdiction. Furthermore, each party hereto irrevocably waives any right that it may have to trial by jury in any action, proceeding or counterclaim arising out of or relating to this agreement or the transactions contemplated hereby.
