This Agreement shall be governed in all respects, whether as to validity, construction, capacity, performance, or otherwise, by and under the laws of the State of Louisiana (without giving effect to principles of conflicts of laws). Bidder hereby irrevocably consents to the non-exclusive personal jurisdiction and venue of any Louisiana or United States Federal court of competent jurisdiction sitting in Orleans Parish, Louisiana, in any action, claim, or proceeding arising out of or in connection with this Agreement. BIDDER HEREBY EXPRESSLY AND IRREVOCABLY WAIVES AND AGREES NOT TO ASSERT (I) THE DEFENSE OF LACK OF PERSONAL JURISDICTION, FORUM NON CONVENIENS OR ANY SIMILAR DEFENSE WITH RESPECT TO THE MAINTENANCE OF ANY SUCH ACTION, CLAIM, OR PROCEEDING IN ORLEANS PARISH, LOUISIANA, AND (II) THE RIGHT TO TRIAL BY JURY IN ANY SUCH ACTION OR PROCEEDING.
