Governing Law; Jurisdiction; Attorneys’ Fees. This Agreement and each SOW will be governed by, and construed in accordance with, the laws of the State of Washington as applied to contracts performed therein but without reference to its choice of law rules. Any suit brought by either party against the other party for claims arising out of this Agreement or any SOW will be brought, as applicable, in the state courts in Xxxxxx County, Washington, or the United States District Court for the Western District of Washington. Each party agrees not to commence or prosecute any such action, claim, or proceeding other than in the aforementioned courts. In any dispute concerning or arising under this Agreement, a SOW and/or any transaction relating hereto, the substantially prevailing party will be entitled to reimbursement of its reasonable attorneys’ fees and costs.
