Common use of Governing Law; Jurisdiction; Waiver of Immunity; Jury Trial Waiver Clause in Contracts

Governing Law; Jurisdiction; Waiver of Immunity; Jury Trial Waiver. This Agreement and the Collateral Accounts shall be governed by and construed in accordance with the substantive laws of the State of New York, without regard to conflicts of laws principles thereof. The State of New York shall be deemed to be the jurisdiction of the Custodian as securities intermediary. The Custodian shall notify the Agent of its intention to amend the governing law provisions of the Custodian Agreement. The Agent, the Customer and the Custodian hereby consent to the jurisdiction of a state or federal court situated in New York City, New York in connection with any dispute arising hereunder. To the extent that in any jurisdiction the Agent or the Customer may now or hereafter be entitled to claim, for itself or its assets, immunity from suit, execution, attachment (before or after judgment) or other legal process, the Agent and the Customer each irrevocably agrees not to claim, and hereby waives, such immunity to the extent permitted by law. The Agent, the Customer and the Custodian each hereby irrevocably waives any and all rights to trial by jury in any legal proceeding arising out of or relating to this Agreement.

The AgentSecurity Trustee, the Customer and the Custodian hereby consent to the jurisdiction of a state or federal court situated in New York City, New York in connection with any dispute arising hereunder. To the extent that in any jurisdiction the Agent Security Trustee or the Customer may now or hereafter be entitled to claim, for itself or its assets, immunity from suit, execution, attachment (before or after judgment) or other legal process, the Agent Security Trustee and the Customer each irrevocably agrees not to claim, and hereby waives, such immunity to the extent permitted by law.
