Governing Law, Successors, Severability. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware and shall bind and inure to the benefit of the heirs, executors, personal representatives, successors and assigns of the parties hereto. If any provision of this Agreement shall be held to be invalid, the remainder of this Agreement shall not be affected thereby.
