Governing Law; Venue; Jury Trial Waiver. The Agreement, and all claims arising out of or relating to its subject matter, shall be exclusively governed by and construed under the internal laws of the State of Indiana, without regard to its conflicts of laws rules. Each party consents to the exclusive jurisdiction of the state and federal courts located in Xxxxxx County (Indianapolis), Indiana to adjudicate any claim arising out of or relating to the Agreement or its subject matter. EACH PARTY WAIVES ANY RIGHT TO JURY TRIAL IN CONNECTION WITH ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR ITS SUBJECT MATTER.
