Governing Laws; Binding Effect. This Agreement is governed by the laws of Delaware and shall be construed in accordance therewith. All parties to this Agreement hereby consent to personal jurisdiction of the courts located in Delaware. This Agreement shall be binding upon the heirs, personal representatives, successors and assigns of the parties hereto.
